我国企业在加入ＷＴＯ后，面临着重大的发展机遇和挑战。企业能否抓住机遇，迎接挑战，其关键之一在于其治理结构是否健全，是否有效率。公司治理结构是现代企业制度的核心。我国上市公司治理结构不健全是影响其绩效的主要因素。本文首先讨论了公司治理结构及有效性的含义，然后重点从股权结构、股权滥用、内部人控制、资本市场无效率等方面分析了我国上市公司的治理失灵，提出了健全上市公司治理结构的一些政策措施。

Entering WTO, enterprises of our country face great chances for development and challenge. Whether the administrative structures are perfect and efficient is o ne of the significant factors to success. The main reason of the poor achievements of the listed companies is the imperfectness of the administrative structure. This article discusses the definition of the administrative structures and its effectiveness, analyzes the failure in administration from stock right structure, stock right abuse, staff member's management, inefficiency of the capital market and presents the measures to improve administrative structures of the listed companies.
